Key Risk Considerations

• Manager Track Record: First-time fund under this management entity; no prior fund-level exit or realized IRR history.

• Portfolio Concentration risk: Returns depend heavily on successful commercialization, government procurement, and favorable defence and space policies. Delays in contracts, technology adoption, or regulatory approvals could materially impact portfolio performance.

• Fee Drag on Net Returns: Higher management and performance fees impose a heavy hurdle on net returns, significantly compressing upside unless the fund delivers extraordinary gross outperformance.

• Policy & Government Dependence: The sector relies heavily on government policy push and budget allocations. Any fiscal shift, geopolitical realignment, or policy cooling would strip away primary tailwinds, leaving the sector vulnerable to steep cyclical headwinds.

• Illiquidity Profile: 7-year hard lock-in structure with no interim redemption rights or secondary market liquidity.

• Exaggerated Valuations across Public & Private Markets: Driven by recent hype, defence valuations across both listed (Defence Index at ~55 P/E) and unlisted markets are trading at extreme multiples. Entering at peak valuation leaves little safety margin, making risk-adjusted risk-reward unfavourable for fresh capital infusions at this point in time.

• Technology & Procurement Cycles: Early-stage deep-tech risks combined with long government defence procurement timelines and certification delays.

Conclusion & Investors’ suitability

The fund’s structural framework poses an unfavorable risk-reward profile, making it unviable even as a satellite asset.

The underlying fund’s exposure suffers from acute, multi-layered risk factors: extreme single-sector concentration, unproven early-stage deep-tech risks, high illiquidity via a 7-year lock-in, and full operational dependence on extended government procurement and regulatory approval cycles. These structural headwinds are severely compounded by a high fee architecture (management and performance fees) that erodes net performance, alongside a first-time fund management team lacking a verified track record of realized exits or IRRs.

Furthermore, entering the defence, space, and deep-tech sectors at current valuation levels represents a severe structural risk. Driven by recent market hype, valuations across both the public and unlisted defence markets are trading at substantial high multiples. Committing capital at the peak of a policy-driven market cycle creates significant vulnerability; any future cooling in policy momentum, budget reallocations, or order execution delays will trigger substantial valuation drawdowns.
